These Terms of Service govern the use of zoeastpv.com and provide the framework for quotations and supply agreements with ZOEAST PV CO., LTD. ("ZOEAST PV"). By using this website you accept these terms.
1. Website content
Product descriptions, drawings, performance figures and packing data on this site are provided for evaluation. Values such as module power, cell efficiency or battery capacity are typical production values with the tolerances stated in the relevant datasheet; final specifications are the ones written in the signed contract, the bill of materials and the inspection standard agreed for the order. We may correct errors and improve products without notice.
2. Quotations and orders
A quotation is valid for 30 days unless it states otherwise and is subject to stock, raw-material prices and exchange rates. An order becomes binding when ZOEAST PV issues an order confirmation or proforma invoice and the agreed deposit is received. Specifications, Incoterms, port of destination, packaging and inspection must be confirmed in writing before production starts.
3. Prices and payment
Prices are quoted in USD or EUR, ex-works or on the Incoterm stated in the quotation, and exclude duties and local taxes unless agreed otherwise. Standard terms are a deposit with the balance against the bill of lading copy; other terms may be agreed per project. Late payment may suspend production or shipment.
4. Delivery and force majeure
Lead times are estimates counted from receipt of the deposit and approval of the final specification. Risk passes according to the agreed Incoterm. ZOEAST PV is not liable for delays caused by events outside its reasonable control, including port congestion, customs inspections, power restrictions, epidemics or changes in export regulation.
5. Inspection, warranty and claims
Goods are inspected before shipment and shipped with test reports and packing lists. Buyers should inspect on arrival and notify ZOEAST PV in writing within 7 days of delivery for visible damage or short shipment, and within the warranty period for performance defects. The warranty covers manufacturing defects under normal use and the terms stated in the product datasheet; it excludes damage from incorrect installation, misuse, unauthorised repair or force majeure. Our obligation is limited, at our option, to repair, replace or credit the defective goods.
6. Intellectual property
All trademarks, photographs, drawings and texts on this site belong to ZOEAST PV or their licensors and may not be reproduced commercially without written permission. Buyer brands, artwork and specifications supplied for OEM production remain the buyer's property, and the buyer confirms it has the right to use them.
7. Limitation of liability
To the extent permitted by law, ZOEAST PV is not liable for indirect or consequential loss, including lost profit, lost generation or installation costs. Total liability for a claim is limited to the value of the goods giving rise to the claim.
8. Compliance
Buyers are responsible for import licensing, certification and grid-connection compliance in their own market. Both parties comply with applicable anti-bribery, sanctions and export-control rules.
9. Governing law and disputes
These terms are governed by the laws of the People's Republic of China. Disputes that cannot be settled amicably within 30 days will be referred to the competent court at the seller's place of business, unless a signed contract provides for arbitration.
